VinFast Restructures with $1.2 Billion Property Acquisition from Founder
The Vietnamese electric vehicle maker aims to improve its financial standing through a significant property deal and operational restructuring.

VinFast, Vietnam's prominent electric vehicle manufacturer, has announced plans to acquire a property development company from its founder, billionaire Pham Nhat Vuong, for approximately $1.2 billion. This move is part of a broader strategy to bolster its financial position following several years of substantial losses, as reported by Nikkei Asia.
The acquisition is expected to provide VinFast with new earnings and cash flow, essential for its ongoing restructuring efforts. The company has faced significant financial challenges, leading to a reevaluation of its operational model. As part of this strategy, VinFast plans to separate certain core business functions from its manufacturing arm, VinFast Trading and Production JSC (VFTP), which will be sold for around $530 million to a group led by Future Investment Research and Development JSC, also involving Vuong as a minority investor, according to local reports.
In a filing to the U.S. Securities and Exchange Commission (SEC), VinFast detailed that the restructuring aims to create a more asset-light operation, allowing the company to focus on high-value activities such as global research and development, branding, and sales. The new entity, expected to be named VinFast Vietnam JSC (VFVN), will oversee these functions, while VFTP will retain manufacturing assets and responsibilities, including the management of significant financial liabilities totaling approximately 182 trillion VND.
Vingroup, VinFast's parent company, reported a profit of approximately 12.542 trillion VND from the divestment of VFTP, contributing to a substantial increase in its financial performance. The conglomerate's half-year financial report indicated total revenues of 25.285 trillion VND, nearly quadrupling year-on-year, largely driven by gains from asset sales and investment liquidation.
Analysts indicate that this restructuring is critical for VinFast as it navigates a challenging market landscape. The company aims to streamline operations and reduce capital expenditure requirements, which could enhance its competitiveness in the rapidly evolving electric vehicle sector.
